U.S. Epsilon Corp. is buying NPK-Kontakt LLC, a company focusing on coal-bed methane, and Lyspromgaz LLC, a gas supplier, for $1.25 million, reads a report posted on the Web site of the U.S. Securities and Exchanges Commission.

Both companies are based in
Luhansk Oblast in eastern Ukraine.

NPK-Kontakt LLC and Lyspromgaz LLC are registered to Cypriot Synderal
Services Ltd, which today owns Bezerius Holdings Ltd. (Cyprus). Epsilon
Corp. via its subsidiaries signed an option deal with Bezerius Holdings
on the acquisition of the Ukrainian asset for $1.25 million. An advance
payment of $412,000 is to be paid. The deal could be finalized by
October 2013.

NPK-Kontakt LLC extracts coal-bed methane and Lyspromgaz LLC supplies it to consumers under a non-regulated tariff.

In 2006, the Antimonopoly Committee of Ukraine permitted
ITT-Management asset management company (Kyiv) to build up over 50% in
NPK-Kontakt and Lyspromgaz.
